These Terms govern the EpiDev extension, entitlement and licensing services, website, checkout, and related support. Our Privacy Policy explains how we process personal information.

1. Agreement, eligibility, and authority

These Terms and Conditions (“Terms”) are an agreement between you and EpiDev (“EpiDev,” “we,” “us,” or “our”), the provider of the EpiDev software and related services (collectively, the “Service”). You agree to them when you check an acceptance box during activation or checkout, download or install EpiDev, activate an entitlement, or use the Service. If you do not agree, do not use the Service.

You must be at least 18 and legally capable of entering into a contract. The Service is designed for professional and business use. If you use it for an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If applicable law treats you as a consumer, these Terms do not limit rights that cannot lawfully be waived.

2. The Service and its control model

EpiDev provides tools for inspecting, designing, validating, and, when enabled, modifying supported ERP artifacts and environments. The extension runs in your Visual Studio Code environment and communicates directly with ERP environments and agent clients that you configure. EpiDev’s hosted entitlement service handles plans, activation, licensing, device limits, and related account functions; it does not proxy your ERP traffic or operate your ERP environment for you.

The Service offers configurable control levels, including read-only modes and separate controls for agent-initiated writes. These controls help limit access but do not replace ERP permissions, identity and access management, change approval, independent review, testing, backups, monitoring, or other controls appropriate to your environment.

We may release updates, corrections, or new versions. Some updates may be installed through Visual Studio Code or the Visual Studio Marketplace according to your settings on those platforms.

3. License, activation, seats, and devices

Subject to these Terms and your applicable plan, EpiDev grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during your entitlement term to install and use the extension for your internal professional or business purposes.

Access levels, features, seat quantities, device limits, and entitlement dates are determined by your plan or written order. Access codes, entitlement receipts, and other activation credentials are for authorized users only. Protect them from unauthorized use, notify us promptly if you believe they have been compromised, and do not share them to avoid seat or device limits.

Community access is provided without charge, may have fewer features or stricter limits, and may be changed or discontinued. Enterprise plans may be governed by a separate written agreement, which controls if it conflicts with these Terms.

4. Your systems, credentials, and data

You are responsible for obtaining the rights and permissions needed to connect the Service to an ERP system, agent client, or third-party service; configuring environments, credentials, ERP permissions, control levels, and agent-write settings appropriately; and ensuring each person or agent is authorized and operates within your policies and applicable law.

You are also responsible for reviewing proposed changes and outputs, testing changes in an appropriate non-production environment, maintaining current backups and recovery procedures, and the legality, accuracy, quality, and integrity of material you or your authorized users provide.

You retain your rights in your ERP data, artifacts, configurations, prompts, and other content. As described in the Privacy Policy, the extension is designed to send ERP requests directly from your computer to systems you configure. EpiDev does not receive your ERP credentials, ERP artifacts, ERP query results, prompts, agent conversations, or model responses through that direct workflow.

You grant EpiDev the limited right to process account, entitlement, billing, support, and diagnostic information only as needed to provide, secure, support, and improve the Service, comply with law, and enforce these Terms, subject to the Privacy Policy.

5. Agents, AI providers, and third-party services

The Service can expose tools to third-party AI agents and agent clients you choose. EpiDev does not provide AI inference, host the models you select, or control their output. An agent may misunderstand instructions, produce inaccurate results, or request a harmful operation. You are responsible for selecting, configuring, authorizing, and supervising agent clients and AI providers and for deciding whether to use their output. EpiDev’s control levels and approval mechanisms reduce certain risks but cannot eliminate them.

The Service may interoperate with Visual Studio Code, the Visual Studio Marketplace, Epicor or Kinetic products, Stripe, Resend, AI providers, agent clients, and other third-party products. Those products are governed by their own terms and privacy policies. EpiDev is not responsible for third-party products, their availability, their security, or changes they make. References to third-party names do not imply sponsorship or endorsement, and their trademarks belong to their owners.

6. Fees, automatic renewal, billing, and cancellation

Prices, currency, billing interval, features, and seat quantity for a paid self-service plan are shown before checkout. Paid self-service subscriptions renew automatically for successive periods equal to the monthly or yearly billing interval shown at checkout until canceled. By completing checkout, you authorize EpiDev and Stripe to charge your selected payment method for the initial purchase and each renewal, including any applicable taxes shown at checkout.

You may cancel a paid self-service subscription at any time by emailing support@epidev.ai. A request received before a renewal charge will stop later recurring charges. Cancellation otherwise takes effect at the end of the current paid billing period, and access continues through that period unless terminated for breach. We do not provide prorated refunds or credits for partial periods, except where required by law or expressly agreed in writing.

Fees are in U.S. dollars unless checkout says otherwise and exclude taxes unless expressly stated. You are responsible for transaction taxes other than taxes based on EpiDev’s net income. If a payment fails or becomes past due, we may retry the charge and suspend paid access after reasonable notice.

We may change prices for a future renewal with at least 30 days’ advance notice to the account email. If you do not agree, cancel before the new price takes effect. We will not apply an increase retroactively to a period already paid for.

Stripe hosts paid checkout and processes payment information. Your use of Stripe is also subject to Stripe’s Consumer Terms of Service and Privacy Policy. Enterprise billing may instead be governed by a separate written agreement.

7. Acceptable use

You may not use the Service unlawfully or fraudulently; access or modify systems without authorization; bypass entitlements, seat or device limits, approval gates, or security controls; interfere with or probe the Service without written authorization; introduce malicious code; resell or distribute the Service except as allowed in writing; reverse engineer it except where law prohibits that restriction; remove proprietary notices; or misrepresent its source, ownership, capabilities, or results.

8. Ownership, open source, and feedback

EpiDev and its licensors retain all rights, title, and interest in the Service, including its software, design, documentation, and trademarks. No rights are granted except those stated in these Terms. Components identified as open source are governed by their applicable licenses.

If you voluntarily provide feedback, you grant EpiDev a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate it without restriction or obligation to you. This does not transfer ownership of your ERP data or confidential information.

9. Service and Terms changes

We may change or discontinue features to improve the Service, address security or legal requirements, or reflect third-party platform changes. We will provide reasonable advance notice if a change materially reduces the core functionality of a paid plan during an active billing period. Support descriptions are not service-level commitments unless a separate written agreement says otherwise.

We may revise these Terms prospectively. For a material change, we will provide reasonable notice through the Service, website, or account email before it takes effect, except when an immediate change is reasonably necessary for security, abuse prevention, or legal compliance. If you do not agree, stop using the Service and cancel before the revised Terms take effect. Continued use after that date constitutes acceptance.

10. Suspension and termination

You may terminate these Terms by stopping use and canceling any paid subscription. EpiDev may suspend or terminate access if you materially or repeatedly violate these Terms, create a security or legal risk, fail to pay fees, or use the Service in a way that could cause harm. When reasonable, we will give notice and an opportunity to cure, but may act immediately to address fraud, unlawful conduct, security threats, or harm.

If we discontinue a paid self-service plan before the end of a period you paid for and do not provide substantially similar continued access, we will provide a prorated refund for the unused portion, except when access ended because of your breach.

Upon termination, your license ends. Provisions that by their nature should survive will survive, including accrued payment obligations, ownership, disclaimers, liability limits, indemnification, dispute terms, and general provisions.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EPIDEV AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

EPIDEV DOES NOT WARRANT THAT THE SERVICE, AN AGENT OUTPUT, OR AN ERP OPERATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, OR SUITABLE FOR YOUR REQUIREMENTS; THAT EVERY DEFECT OR HARMFUL OPERATION WILL BE DETECTED OR PREVENTED; OR THAT DATA WILL NOT BE LOST. THE SERVICE IS NOT A BACKUP, DISASTER-RECOVERY, SECURITY, COMPLIANCE, OR PROFESSIONAL-ADVICE SERVICE.

These disclaimers do not affect warranties or rights that applicable law does not permit us to exclude.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPIDEV, ITS AFFILIATES, LICENSORS, AND THEIR PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, USE, OR DATA, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID EPIDEV FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100.

These limits apply regardless of legal theory and even if a remedy fails of its essential purpose. They do not limit liability for fraud, willful misconduct, or liability that applicable law does not permit to be limited. A separate enterprise agreement may state different terms.

13. Indemnification

If you use the Service for a business or organization, to the extent permitted by law, you will defend, indemnify, and hold harmless EpiDev, its affiliates, licensors, and their personnel from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys’ fees arising from your or your authorized users’ unlawful or unauthorized use; your data, instructions, configurations, or system modifications; your material breach of these Terms; or your infringement of a third party’s rights.

This does not apply to the extent a claim results from EpiDev’s breach, gross negligence, or willful misconduct. EpiDev will give prompt notice, allow you to control the defense and settlement, and reasonably cooperate at your expense. You may not settle in a way that admits fault by or imposes an obligation on EpiDev without our written consent, which will not be unreasonably withheld.

14. Governing law and disputes

Texas law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in Texas that have subject-matter jurisdiction and proper venue under applicable law have exclusive jurisdiction, and each party consents to personal jurisdiction in those courts.

Before filing a claim, each party will give written notice describing the dispute and attempt in good faith for 30 days to resolve it informally. Either party may seek immediate equitable relief to protect intellectual property, confidential information, or systems from unauthorized access or misuse. Nothing here limits a right or remedy that applicable law does not permit the parties to waive.

15. General provisions

These Terms, the Privacy Policy, plan information shown at checkout, and any applicable written order form make up the agreement concerning the Service. A signed enterprise agreement or order form controls if it conflicts with these Terms.

You may not assign these Terms without EpiDev’s consent. EpiDev may assign them as part of a merger, reorganization, financing, sale of assets, or transfer of the Service. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.

If a provision is unenforceable, it will be modified only as needed and the remainder will stay effective. Failure to enforce a provision is not a waiver. These Terms do not create a partnership, agency, employment, fiduciary, or third-party-beneficiary relationship.

You must comply with applicable export-control, sanctions, and trade laws and may not use or export the Service where prohibited by United States law. Notices may be delivered through the Service, website, or account email; you are responsible for keeping that address current.

Your ERP work stays on the systems you choose. EpiDev does not proxy your ERP traffic through our servers and does not collect your ERP credentials, artifacts, query results, AI prompts, or agent responses.

This Privacy Policy explains how EpiDev (“EpiDev,” “we,” “us,” or “our”) processes information when you visit epidev.ai, use the EpiDev Visual Studio Code extension, obtain or manage an EpiDev license, or contact us.

1. The short version

EpiDev is designed so your ERP work stays between your computer, the ERP environments you configure, and any AI provider or agent client you choose. We do not operate an AI model, proxy your ERP traffic through our servers, or collect your ERP credentials, artifacts, query results, prompts, or agent responses.

We do process limited information needed to provide the website, billing, account activation, licensing, device limits, transactional email, security, and support.

2. Website and checkout information

When you load the landing page, it requests the current public plan catalog from our entitlement service. Like any internet service, our hosting and entitlement infrastructure necessarily processes network and request information such as IP address, request time, route, response status, and a generated request identifier.

When you request Community access or begin paid checkout, we process:

• Your email address.
• The selected plan and seat quantity.
• The page URL to which checkout should return.
• Checkout, customer, subscription, fulfillment, and delivery identifiers and status.

Paid checkout is hosted by Stripe. Payment-card, bank-account, billing-address, tax, fraud-prevention, and other payment information you enter on Stripe’s pages is collected by Stripe under Stripe’s Privacy Policy. EpiDev receives transaction and subscription information needed to provision and maintain access, but does not receive or store your full payment-card or bank-account number.

The landing page currently uses no advertising cookies, behavioral analytics, or third-party marketing trackers. It may use browser local storage only for an optional entitlement-service URL override used for development or self-hosted testing. We do not use browser fingerprinting for advertising.

3. Licensing and entitlement information

When you activate or refresh EpiDev access, the extension sends our entitlement service an access code or signed receipt and a device identifier. The device identifier is normally the identifier supplied to extensions by Visual Studio Code; if unavailable, EpiDev generates an installation identifier. The identifier is sent over HTTPS and the service stores a keyed one-way hash rather than the raw identifier. We use it only to bind sessions to devices, enforce device limits, detect mismatches, and revoke a device session.

Depending on your plan and how access is administered, we process:

• Customer and account identifiers, customer name, email, and status.
• Plan, access level, feature flags, seat and device limits, and entitlement dates.
• Hashed access codes, signed entitlement receipts, session identifiers, receipt expiration, verification time, and revocation state.
• Stripe customer, checkout, and subscription identifiers and subscription status.
• Access-email delivery status and provider message identifiers.
• For organization-managed seats, organization and user identifiers supplied by the organization’s identity or customer-portal system, work email, seat assignment, assigning administrator identifier, and active-device count.

Access codes are stored as keyed hashes for validation. Where a code must remain recoverable briefly for checkout fulfillment or transactional delivery, it is stored encrypted. The email address and access-kit content are provided to Resend for delivery under Resend’s Privacy Policy.

Our entitlement service records limited operational measurements such as request method, response status, duration, database-open duration, delivery outcome, and counts. Slow-request logs may also contain the request path and request identifier. These measurements are for reliability and security; they are not advertising analytics and are designed not to contain request bodies, access codes, receipts, ERP credentials, or ERP content.

4. Information that stays local or goes directly to systems you choose

The extension stores the following on your computer through Visual Studio Code or in files you choose to create:

• ERP environment configuration, including server URL, company, user name, authentication mode, and safety settings.
• ERP passwords, API keys, bearer/OIDC tokens, entitlement receipts, and cached entitlement grants in Visual Studio Code SecretStorage.
• Local output-channel logs and a local ERP action audit log.
• Exports, packages, screenshots, previews, and diagnostics you explicitly create.

The extension communicates directly from your computer to the ERP server URLs you configure. ERP request and response data is processed in memory by the extension and by your ERP server; it is not sent to EpiDev’s entitlement service.

The extension can expose local-loopback MCP and language-model tools to agent clients you configure. EpiDev does not provide AI inference and does not receive your prompts, agent conversations, model responses, or ERP tool results. Your chosen AI provider, agent client, ERP operator, Microsoft/Visual Studio Code, and other systems you configure may process information under their own terms and privacy policies.

5. What we do not collect or do

Except when you intentionally provide information to us for support, EpiDev does not collect through its hosted services:

• ERP passwords, API keys, bearer tokens, or OIDC tokens.
• ERP artifacts, business data, query results, server logs, exports, or workspace files.
• AI prompts, model responses, agent conversations, or AI-provider credentials.
• Full payment-card or bank-account numbers.
• Contacts, precise location, biometric information, health information, or other sensitive personal information unrelated to providing EpiDev.
• The raw device identifier in the entitlement database.

We do not sell or rent personal information. We do not use personal information for targeted advertising or profile you for decisions that produce legal or similarly significant effects. We do not send promotional marketing merely because you activated a license; licensing, billing, security, support, and access-delivery messages are transactional or service-related.

6. How we use information

• Provide, activate, authenticate, maintain, and support EpiDev.
• Apply plan features, seat limits, device limits, renewals, grace periods, and revocations.
• Create and reconcile subscriptions, payments, invoices, cancellations, and access delivery.
• Send access codes, receipts, service notices, and support responses.
• Protect the service, rate-limit abuse, investigate errors, and maintain audit records.
• Comply with law, enforce agreements, resolve disputes, and measure service reliability without collecting ERP or AI content.

7. When we disclose information

We disclose only what is reasonably necessary to:

• Stripe, to host checkout and process payments, subscriptions, fraud controls, refunds, and related billing operations.
• Resend, to deliver access codes and other transactional email.
• Hosting, infrastructure, and security providers, to operate and protect our website and entitlement service.
• Your organization’s authorized administrators or customer portal, to manage organization licensing, named seats, and device allocation.
• Professional advisers, authorities, or other parties, when reasonably necessary to comply with law, protect rights and safety, investigate misuse, or complete a business transaction.
• Other parties at your direction or with your consent.

Disclosures to a service provider to fulfill a service you requested are not sales of personal information.

8. Retention and security

We retain account, entitlement, subscription, seat, delivery, security, and audit information for as long as reasonably necessary to provide EpiDev, maintain business and financial records, secure the service, resolve disputes, and meet legal obligations. Retention can continue after cancellation where those purposes require it. We delete, deidentify, or restrict information when it is no longer reasonably necessary, subject to backups and legal requirements.

Signing out of the extension removes its cached entitlement receipt and grant from Visual Studio Code SecretStorage and requests revocation of the current device session. It does not by itself delete customer, billing, audit, or subscription records maintained by the entitlement service or Stripe.

We use safeguards appropriate to the information we process, including HTTPS, one-way keyed hashes for access codes and device identifiers, encryption for recoverable access-delivery secrets, signed receipts, access controls, rate limits, and local secret storage. No transmission or storage system is completely secure.

9. Your choices and privacy requests

Depending on where you live and subject to applicable exceptions, you may ask us to confirm whether we process your personal information; provide access to or a portable copy of it; correct it; delete it; or restrict or object to certain processing. You may also appeal a decision on a privacy request and may exercise applicable rights without discrimination.

Submit a request or appeal by emailing support@epidev.ai with the subject Privacy Request or Privacy Appeal. We may need to verify your identity and authority before acting. We will respond within the time required by applicable law. Because we do not sell personal information or use it for targeted advertising, there is no sale or targeted-advertising opt-out to exercise.

You can also remove locally stored ERP credentials through EpiDev’s environment settings, sign out to clear cached entitlement state, uninstall the extension, and delete local logs or exports you created. Payment-method requests may need to be directed to Stripe.

10. International processing

EpiDev and its providers may process information in the United States and other countries where they operate. Those locations may have different data-protection laws than your location.

11. Children’s privacy

EpiDev is a business and developer tool and is not directed to children under 18. We do not knowingly collect personal information from children. Contact us if you believe a child has provided personal information to us.

12. Changes to this policy

We may update this Privacy Policy as EpiDev, our providers, or legal requirements change. We will post the revised policy and update its effective date. Material changes may also be communicated through the Service or by email when appropriate.
