These Terms govern the EpiDev extension, entitlement and licensing services, website, checkout, and related support. Our Privacy Policy explains how we process personal information.
1. Agreement, eligibility, and authority
These Terms and Conditions (“Terms”) are an agreement between you and EpiDev (“EpiDev,” “we,” “us,” or “our”), the provider of the EpiDev software and related services (collectively, the “Service”). You agree to them when you check an acceptance box during activation or checkout, download or install EpiDev, activate an entitlement, or use the Service. If you do not agree, do not use the Service.
You must be at least 18 and legally capable of entering into a contract. The Service is designed for professional and business use. If you use it for an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If applicable law treats you as a consumer, these Terms do not limit rights that cannot lawfully be waived.
2. The Service and its control model
EpiDev provides tools for inspecting, designing, validating, and, when enabled, modifying supported ERP artifacts and environments. The extension runs in your Visual Studio Code environment and communicates directly with ERP environments and agent clients that you configure. EpiDev’s hosted entitlement service handles plans, activation, licensing, device limits, and related account functions; it does not proxy your ERP traffic or operate your ERP environment for you.
The Service offers configurable control levels, including read-only modes and separate controls for agent-initiated writes. These controls help limit access but do not replace ERP permissions, identity and access management, change approval, independent review, testing, backups, monitoring, or other controls appropriate to your environment.
We may release updates, corrections, or new versions. Some updates may be installed through Visual Studio Code or the Visual Studio Marketplace according to your settings on those platforms.
3. License, activation, seats, and devices
Subject to these Terms and your applicable plan, EpiDev grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during your entitlement term to install and use the extension for your internal professional or business purposes.
Access levels, features, seat quantities, device limits, and entitlement dates are determined by your plan or written order. Access codes, entitlement receipts, and other activation credentials are for authorized users only. Protect them from unauthorized use, notify us promptly if you believe they have been compromised, and do not share them to avoid seat or device limits.
Community access is provided without charge, may have fewer features or stricter limits, and may be changed or discontinued. Enterprise plans may be governed by a separate written agreement, which controls if it conflicts with these Terms.
4. Your systems, credentials, and data
You are responsible for obtaining the rights and permissions needed to connect the Service to an ERP system, agent client, or third-party service; configuring environments, credentials, ERP permissions, control levels, and agent-write settings appropriately; and ensuring each person or agent is authorized and operates within your policies and applicable law.
You are also responsible for reviewing proposed changes and outputs, testing changes in an appropriate non-production environment, maintaining current backups and recovery procedures, and the legality, accuracy, quality, and integrity of material you or your authorized users provide.
You retain your rights in your ERP data, artifacts, configurations, prompts, and other content. As described in the Privacy Policy, the extension is designed to send ERP requests directly from your computer to systems you configure. EpiDev does not receive your ERP credentials, ERP artifacts, ERP query results, prompts, agent conversations, or model responses through that direct workflow.
You grant EpiDev the limited right to process account, entitlement, billing, support, and diagnostic information only as needed to provide, secure, support, and improve the Service, comply with law, and enforce these Terms, subject to the Privacy Policy.
5. Agents, AI providers, and third-party services
The Service can expose tools to third-party AI agents and agent clients you choose. EpiDev does not provide AI inference, host the models you select, or control their output. An agent may misunderstand instructions, produce inaccurate results, or request a harmful operation. You are responsible for selecting, configuring, authorizing, and supervising agent clients and AI providers and for deciding whether to use their output. EpiDev’s control levels and approval mechanisms reduce certain risks but cannot eliminate them.
The Service may interoperate with Visual Studio Code, the Visual Studio Marketplace, Epicor or Kinetic products, Stripe, Resend, AI providers, agent clients, and other third-party products. Those products are governed by their own terms and privacy policies. EpiDev is not responsible for third-party products, their availability, their security, or changes they make. References to third-party names do not imply sponsorship or endorsement, and their trademarks belong to their owners.
6. Fees, automatic renewal, billing, and cancellation
Prices, currency, billing interval, features, and seat quantity for a paid self-service plan are shown before checkout. Paid self-service subscriptions renew automatically for successive periods equal to the monthly or yearly billing interval shown at checkout until canceled. By completing checkout, you authorize EpiDev and Stripe to charge your selected payment method for the initial purchase and each renewal, including any applicable taxes shown at checkout.
You may cancel a paid self-service subscription at any time by emailing support@epidev.ai. A request received before a renewal charge will stop later recurring charges. Cancellation otherwise takes effect at the end of the current paid billing period, and access continues through that period unless terminated for breach. We do not provide prorated refunds or credits for partial periods, except where required by law or expressly agreed in writing.
Fees are in U.S. dollars unless checkout says otherwise and exclude taxes unless expressly stated. You are responsible for transaction taxes other than taxes based on EpiDev’s net income. If a payment fails or becomes past due, we may retry the charge and suspend paid access after reasonable notice.
We may change prices for a future renewal with at least 30 days’ advance notice to the account email. If you do not agree, cancel before the new price takes effect. We will not apply an increase retroactively to a period already paid for.
Stripe hosts paid checkout and processes payment information. Your use of Stripe is also subject to Stripe’s Consumer Terms of Service and Privacy Policy. Enterprise billing may instead be governed by a separate written agreement.
7. Acceptable use
You may not use the Service unlawfully or fraudulently; access or modify systems without authorization; bypass entitlements, seat or device limits, approval gates, or security controls; interfere with or probe the Service without written authorization; introduce malicious code; resell or distribute the Service except as allowed in writing; reverse engineer it except where law prohibits that restriction; remove proprietary notices; or misrepresent its source, ownership, capabilities, or results.
8. Ownership, open source, and feedback
EpiDev and its licensors retain all rights, title, and interest in the Service, including its software, design, documentation, and trademarks. No rights are granted except those stated in these Terms. Components identified as open source are governed by their applicable licenses.
If you voluntarily provide feedback, you grant EpiDev a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate it without restriction or obligation to you. This does not transfer ownership of your ERP data or confidential information.
9. Service and Terms changes
We may change or discontinue features to improve the Service, address security or legal requirements, or reflect third-party platform changes. We will provide reasonable advance notice if a change materially reduces the core functionality of a paid plan during an active billing period. Support descriptions are not service-level commitments unless a separate written agreement says otherwise.
We may revise these Terms prospectively. For a material change, we will provide reasonable notice through the Service, website, or account email before it takes effect, except when an immediate change is reasonably necessary for security, abuse prevention, or legal compliance. If you do not agree, stop using the Service and cancel before the revised Terms take effect. Continued use after that date constitutes acceptance.
10. Suspension and termination
You may terminate these Terms by stopping use and canceling any paid subscription. EpiDev may suspend or terminate access if you materially or repeatedly violate these Terms, create a security or legal risk, fail to pay fees, or use the Service in a way that could cause harm. When reasonable, we will give notice and an opportunity to cure, but may act immediately to address fraud, unlawful conduct, security threats, or harm.
If we discontinue a paid self-service plan before the end of a period you paid for and do not provide substantially similar continued access, we will provide a prorated refund for the unused portion, except when access ended because of your breach.
Upon termination, your license ends. Provisions that by their nature should survive will survive, including accrued payment obligations, ownership, disclaimers, liability limits, indemnification, dispute terms, and general provisions.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EPIDEV AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
EPIDEV DOES NOT WARRANT THAT THE SERVICE, AN AGENT OUTPUT, OR AN ERP OPERATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, OR SUITABLE FOR YOUR REQUIREMENTS; THAT EVERY DEFECT OR HARMFUL OPERATION WILL BE DETECTED OR PREVENTED; OR THAT DATA WILL NOT BE LOST. THE SERVICE IS NOT A BACKUP, DISASTER-RECOVERY, SECURITY, COMPLIANCE, OR PROFESSIONAL-ADVICE SERVICE.
These disclaimers do not affect warranties or rights that applicable law does not permit us to exclude.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPIDEV, ITS AFFILIATES, LICENSORS, AND THEIR PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, USE, OR DATA, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID EPIDEV FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100.
These limits apply regardless of legal theory and even if a remedy fails of its essential purpose. They do not limit liability for fraud, willful misconduct, or liability that applicable law does not permit to be limited. A separate enterprise agreement may state different terms.
13. Indemnification
If you use the Service for a business or organization, to the extent permitted by law, you will defend, indemnify, and hold harmless EpiDev, its affiliates, licensors, and their personnel from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys’ fees arising from your or your authorized users’ unlawful or unauthorized use; your data, instructions, configurations, or system modifications; your material breach of these Terms; or your infringement of a third party’s rights.
This does not apply to the extent a claim results from EpiDev’s breach, gross negligence, or willful misconduct. EpiDev will give prompt notice, allow you to control the defense and settlement, and reasonably cooperate at your expense. You may not settle in a way that admits fault by or imposes an obligation on EpiDev without our written consent, which will not be unreasonably withheld.
14. Governing law and disputes
Texas law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in Texas that have subject-matter jurisdiction and proper venue under applicable law have exclusive jurisdiction, and each party consents to personal jurisdiction in those courts.
Before filing a claim, each party will give written notice describing the dispute and attempt in good faith for 30 days to resolve it informally. Either party may seek immediate equitable relief to protect intellectual property, confidential information, or systems from unauthorized access or misuse. Nothing here limits a right or remedy that applicable law does not permit the parties to waive.
15. General provisions
These Terms, the Privacy Policy, plan information shown at checkout, and any applicable written order form make up the agreement concerning the Service. A signed enterprise agreement or order form controls if it conflicts with these Terms.
You may not assign these Terms without EpiDev’s consent. EpiDev may assign them as part of a merger, reorganization, financing, sale of assets, or transfer of the Service. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
If a provision is unenforceable, it will be modified only as needed and the remainder will stay effective. Failure to enforce a provision is not a waiver. These Terms do not create a partnership, agency, employment, fiduciary, or third-party-beneficiary relationship.
You must comply with applicable export-control, sanctions, and trade laws and may not use or export the Service where prohibited by United States law. Notices may be delivered through the Service, website, or account email; you are responsible for keeping that address current.
